Terms of Service

1. About NEPATrack

NEPATrack is an independent electricity monitoring platform operated by Adanwoh Inc., a company incorporated in Canada. We provide supply-hour tracking, NERC bill-cap verification, and regulatory claim tooling for electricity consumers in Nigeria.

By accessing or using NEPATrack ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and capable of entering into a legally binding contract to use NEPATrack. By using the Service, you represent that you meet these requirements.

3. Service Description

NEPATrack provides the following:

• Feeder monitoring: Real-time and historical supply-hour data collected from sentinel devices installed at member premises with the consent of the premises owner.
• Cap Check: A tool that compares your billed kWh against applicable NERC monthly energy caps for unmetered postpaid customers. Results are estimates based on data you provide; accuracy is not guaranteed.
• Claim generation: Automated preparation of regulatory complaint evidence packs for submission to DisCos and NERC. NEPATrack does not act as a legal representative and does not guarantee claim outcomes.
• Crowdsourcing: Member-reported power status updates, which are unverified and provided for informational purposes only.

5. User Obligations

You agree to:

• Provide accurate information during sign-up and onboarding.
• Keep your account credentials confidential and notify us immediately of unauthorised access.
• Use the Service only for lawful purposes and in accordance with these Terms.
• Not attempt to reverse-engineer, scrape, or interfere with the platform.
• Not submit false, misleading, or fabricated power reports.
• Obtain appropriate consent before requesting a sentinel device to be hosted at any premises you do not personally own or control.

6. Subscription Plans and Payment

NEPATrack offers free and paid subscription tiers. Paid plans are billed monthly or annually as described on the pricing page at the time of purchase.

• Payments are processed by Paystack. By subscribing, you authorise Paystack to charge your chosen payment method on a recurring basis.
• Subscription fees are charged in advance. If you upgrade mid-cycle, you will be charged a pro-rated amount for the remainder of the period.
• We reserve the right to change pricing with at least 30 days' notice to existing subscribers. Continued use after the effective date constitutes acceptance.

7. Refund Policy

We offer a 7-day refund on new paid subscriptions if you have not used the claim-generation features. To request a refund, email support@nepatrack.com within 7 days of your first charge.

Refunds are not available after claims have been generated or submitted on your behalf, or after the 7-day window has passed. Annual plan refunds are pro-rated for unused complete months, less any transaction fees.

8. Intellectual Property

All content, software, branding, and data compiled by NEPATrack is the property of Adanwoh Inc. or its licensors. You may not reproduce, distribute, or create derivative works without prior written permission.

Data you provide (billing figures, feeder reports) remains yours. You grant NEPATrack a non-exclusive licence to process and use it to provide the Service and, in anonymised aggregate form, to improve the platform.

9. Limitation of Liability

To the fullest extent permitted by applicable law, NEPATrack and Adanwoh Inc. shall not be liable for:

• Loss of revenue, profits, data, or goodwill arising from use of the Service.
• Inaccuracies in feeder data, cap calculations, or claim documents.
• Actions or inactions by DisCos, NERC, or any third party.
• Service interruptions, downtime, or data loss.

Our total aggregate liability to you in any 12-month period shall not exceed the amount you paid to NEPATrack during that period.

10. Termination

You may cancel your account at any time from your profile settings. Cancellation takes effect at the end of your current billing period; no partial refunds are issued.

We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or pose a risk to other users or the platform. In such cases no refund will be issued.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from or in connection with these Terms shall first be referred to mediation. If mediation fails, disputes shall be resolved by the courts of competent jurisdiction in Lagos State, Nigeria.

Nothing in this clause limits your statutory rights as a consumer under Nigerian law.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated with at least 14 days' notice via email or in-app notification. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
